Cotopia Shop — Terms & Conditions

  1. Introduction 1.1 These Terms & Conditions (“Terms”) govern your access to and use of Cotopia Shop (the “Shop”), operated by Cotopia (“we”, “us”, “our”). By accessing, browsing or purchasing from the Shop you agree to be bound by these Terms. 1.2 If you do not accept these Terms, do not use the Shop or purchase products from it.

  2. Definitions 2.1 “Buyer”, “you”, “your” means any person who accesses the Shop or purchases Products. 2.2 “Products” means the digital templates, collections, downloads, services and any associated materials offered for sale on the Shop. 2.3 “Order” means the Buyer’s request to purchase one or more Products through the Shop. 2.4 “Delivery” or “Fulfilment” means provision of the Product to the Buyer after successful payment, typically via email, downloadable link, or other electronic means.

  3. Company details 3.1 Operator: Cotopia (the “Company”). 3.2 Cotopia, Wyoming. Contact: support@cotopia.org.

  4. Eligibility 4.1 You must be at least 18 years old or have reached the age of majority in your jurisdiction to make purchases. If you are under 18, you may only use the Shop with involvement and consent of a parent or legal guardian. 4.2 By placing an Order you represent and warrant that you have authority to enter into these Terms and that all information you provide is true and accurate.

  5. Product descriptions and availability 5.1 We endeavour to accurately describe Products, pricing, images, and system requirements. However, we do not warrant that product descriptions or other content are complete, current, or error-free. 5.2 Product availability may change without notice. If a Product is unavailable after you place an Order, we will notify you and offer a refund or suitable alternative.

  6. Orders and contract formation 6.1 All Orders are subject to acceptance by Cotopia. An Order confirmation sent by email does not constitute acceptance; acceptance and the contract are formed when we send a delivery confirmation or otherwise provide access to the Product. 6.2 We reserve the right to refuse or cancel any Order for any reason including but not limited to product unavailability, fraud prevention, pricing errors, or suspicion of unauthorized activity.

  7. Pricing and payment 7.1 Prices displayed on the Shop are in the currency indicated on the product page (default: USD) and exclude any taxes unless explicitly shown. 7.2 Payment methods accepted on the Shop may include PayPal (including PayPal Buttons), on-chain cryptocurrency transfers (e.g., ETH or specified stablecoins) and any other payment providers displayed at checkout. 7.3 For PayPal payments, transactions are processed by PayPal and are subject to PayPal’s terms and conditions. For crypto payments, transaction finality is determined by the blockchain network and we are not responsible for network delays, fees, or failed transactions. 7.4 You are responsible for all fees associated with your payment method (e.g., network/gas fees, bank fees). Cotopia may update accepted payment methods at any time.

  8. Digital delivery, license & usage 8.1 Products are delivered electronically. Delivery methods include, but are not limited to, download link(s) delivered to the PayPal email used for payment, direct download from the Shop, or other electronic delivery mechanisms. 8.2 Upon successful purchase and payment, Cotopia grants you a non-exclusive, non-transferable, worldwide license to use the Product in accordance with the license terms specified on the product page and/or in accompanying documentation. 8.3 Unless otherwise specified, licenses do NOT include the right to:

  • Redistribute, resell, sublicense, or make available the original files, templates, graphics, or source materials as-is or in a modified form, for direct resale or distribution;
  • Claim intellectual property ownership of the Product;
  • Use the Product in any manner that violates applicable laws or third-party rights. 8.4 You must review and comply with any specific license or EULA attached to each Product. In case of conflict, the specific license/EULA governs.
  1. Refunds, returns & cancellations 9.1 Due to the nature of digital goods, refunds are limited. We will consider refund requests on a case-by-case basis and may, at our discretion, issue refunds where:
  • The Product is significantly not as described; or
  • A technical failure on our side prevented delivery and we cannot cure within a reasonable time. 9.2 To request a refund, contact support at [insert contact email] within 14 days of purchase (or any different period specified on a product page). Provide proof of purchase and a clear description of the issue. 9.3 For PayPal payments, buyers may also pursue disputes via PayPal’s buyer protection processes; however, refund eligibility is governed by these Terms and applicable product license. 9.4 For crypto payments, refunds may be impracticable or impossible once the blockchain transaction is confirmed. We will evaluate such cases but are not obligated to issue refunds for confirmed on-chain transfers unless otherwise stated.

  1. Delivery times & expiration 10.1 Delivery typically occurs within 24–48 hours of payment capture, unless otherwise stated. Electronic delivery may be instantaneous for PayPal checkout flows that redirect back to the site. 10.2 Download links or access credentials may expire after a defined period; product pages or confirmation emails will indicate expiration details where applicable. 10.3 Cotopia is not responsible for buyer-side email filtering, spam blockage, or incorrect email address input. Buyers must ensure the email used in payment is accessible to receive delivery.

  2. Taxes, duties & VAT 11.1 Buyers are responsible for any taxes, duties, import charges or VAT applicable in their jurisdiction. 11.2 For EU VAT and local tax obligations, Cotopia may collect tax at checkout where required by law and will display VAT/tax information if applicable.

  3. Account, security & user responsibilities 12.1 If you create an account on the Shop you are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account. 12.2 Immediately notify Cotopia of any unauthorized use or security breach. Cotopia is not liable for losses due to unauthorized account access where you have failed to protect credentials.

  4. Intellectual property 13.1 All content on the Shop (site design, text, images, logos, code) is owned or licensed by Cotopia, except where third-party licenses apply. Except as expressly licensed, you may not copy, modify, distribute, publish, transfer, or create derivative works. 13.2 Product buyers are granted only the usage rights expressly provided in the license for each Product. Ownership of copyrights in the Product remains with Cotopia or the respective content creator, unless expressly transferred in writing.

  5. Third-party services & links 14.1 The Shop may integrate or link to third-party services, including PayPal and blockchain wallets (e.g., MetaMask). Use of these services is governed by the third-party’s terms and privacy policies; Cotopia is not responsible for third-party actions or failures. 14.2 Where the Shop integrates PayPal Buttons or webhooks, Cotopia recommends using secure server-side verification for order processing. Cotopia may provide webhook stubs or server examples but does not assume liability for incorrect server implementations.

  6. Warranties & disclaimers 15.1 TO THE FULLEST EXTENT PERMITTED BY LAW, COTOPIA PROVIDES THE SHOP AND PRODUCTS “AS IS” AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 15.2 Cotopia does not warrant that the Shop will be uninterrupted, error-free, or completely secure. We are not responsible for losses caused by server downtime, integration issues, or third-party service disruptions. 15.3 Any example code, templates, or instructions are provided for convenience and may require adaptation. You are responsible for testing and validating Products in your environment.

  7. Limitation of liability 16.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COTOPIA’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SHOP SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE RELEVANT PRODUCT(S) IN THE 12 MONTHS PRECEDING THE CLAIM. 16.2 IN NO EVENT SHALL COTOPIA BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  8. Indemnification 17.1 You agree to indemnify, defend and hold harmless Cotopia and its officers, directors, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party rights; or (c) your use of Products.

  9. Privacy & data handling 18.1 Cotopia’s handling of personal data is governed by the Privacy Policy [link to privacy policy]. By using the Shop you consent to our collection and use of personal data as described in that policy. 18.2 Payment processing providers (e.g., PayPal) and blockchain providers may collect and process your personal information for transaction purposes. Cotopia does not have control over those providers’ privacy practices.

  10. Cryptocurrency & blockchain payments 19.1 If you elect to pay with cryptocurrency, you acknowledge and accept the following:

  • Crypto payments are final once confirmed on-chain; Cotopia may not be able to reverse or refund transactions depending on network confirmations and custodial arrangements.
  • Network (gas) fees and exchange rate volatility are your responsibility. Cotopia may specify a required crypto amount or accept real-time conversions at checkout.
  • Cotopia may require off-chain verification or server-side confirmation of receipt before delivery. 19.2 Cotopia is not responsible for wallet security, lost private keys, or funds sent to an incorrect address provided by you.

  1. Modifications to Products, Services & Terms 20.1 Cotopia may modify Products, pricing, features and these Terms at any time. Material changes to these Terms will be posted on the Shop with an updated “Last updated” date and, where required by law, notified to you. 20.2 Continued use of the Shop after changes constitutes acceptance of the updated Terms.

  2. Termination & suspension 21.1 Cotopia may suspend or terminate your access to the Shop or cancel Orders if you breach these Terms, for suspected fraudulent or illegal activity, or for reasons of operational, security or legal compliance. 21.2 Termination does not affect rights and obligations that accrued prior to termination (e.g., payment obligations).

  3. Dispute resolution & governing law 22.1 These Terms are governed by the laws of the jurisdiction where Cotopia is incorporated or as otherwise stated in Company corporate documentation. If no jurisdiction is specified, the laws of [insert jurisdiction/state/country] shall apply. 22.2 Any dispute arising from or relating to these Terms, the Shop or Products should first be attempted to be resolved informally by contacting Cotopia support. If unresolved, disputes may be submitted to the competent courts of the governing jurisdiction, subject to any mandatory arbitration or alternative dispute resolution provisions that Cotopia may specify.

  4. Export controls & sanctions 23.1 You are responsible for complying with all applicable export and import laws, trade restrictions and sanctions. You may not purchase, obtain, or use Products in violation of applicable export control or sanctions laws.

  5. Notices 24.1 Notices to you may be delivered by email, posted on the Shop, or by other means reasonably calculated to notify you. Notices to Cotopia should be sent to the contact address provided on the Shop.

  6. Severability & waiver 25.1 If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect. 25.2 Failure by Cotopia to enforce a right or provision does not constitute a waiver of such right or provision.

  7. Assignment 26.1 Cotopia may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization or sale of assets. You may not assign these Terms without Cotopia’s prior written consent.

  8. Entire agreement 27.1 These Terms, together with the Privacy Policy, any license terms accompanying Products, and other documents expressly incorporated by reference, constitute the entire agreement between you and Cotopia with respect to the Shop and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written.

  10. Acknowledgement 29.1 By using the Shop or placing an Order you acknowledge that you have read, understood, and agreed to be bound by these Terms.
