Contributor License Agreement (CLA)

This Contributor License Agreement ("Agreement") is entered into between the contributor ("You") and the maintainers/copyright holders of codexSync ("Maintainers").

1. Definitions

  • "Contribution" means any original work of authorship submitted by You to the codexSync project, including source code, documentation, tests, scripts, and related material.
  • "Project" means the codexSync repository and its related distributions.

2. Copyright License to Project

You grant to the Maintainers and recipients of the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions as part of the Project under GPL-3.0-or-later.

3. Relicensing Right for Dual Licensing

You also grant to the Maintainers a perpetual, worldwide, non-exclusive, royalty-free, irrevocable right to use, sublicense, and distribute Your Contributions under alternative license terms, including commercial proprietary licenses.

This clause is required so the Project can be offered under both open-source and commercial terms.

4. Patent License

To the extent You have patent rights that would be infringed by Your Contribution as submitted, You grant a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, sell, offer for sale, import, and otherwise transfer the Contribution as part of the Project.

5. Representations

You represent that:

  • You are legally entitled to grant the licenses above.
  • Each Contribution is Your original work, or You have sufficient rights to submit it.
  • To the best of Your knowledge, the Contribution does not intentionally include material that violates third-party rights.

6. No Warranty

Except as required by law, You provide Your Contributions "AS IS", without warranties or conditions of any kind.

7. Acceptance

You accept this Agreement by submitting a Contribution to the Project (for example via pull request, patch, or direct commit at the request of Maintainers).
