DRADIS Individual Contributor License Agreement

Version 1.0

Thank you for your interest in DRADIS (the "Project"), maintained by Fraud Monitor, LLC (the "Maintainer"). This agreement clarifies the intellectual property rights granted with Contributions from any person or entity. It protects both you and the Maintainer; it does not change your right to use your own Contributions for any other purpose.

By signing this agreement, you accept and agree to the following terms for your present and future Contributions to the Project.

1. Definitions

"You" means the copyright owner, or the legal entity authorised by the copyright owner, entering into this agreement.

"Contribution" means any original work of authorship, including any modification of or addition to an existing work, that is intentionally submitted by You to the Project for inclusion in it. "Submitted" means any form of electronic, verbal, or written communication sent to the Maintainer or the Project's repositories — including but not limited to pull requests, issues, and patches — excluding any communication conspicuously marked in writing as "Not a Contribution."

2. Copyright license

You hereby grant to the Maintainer a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.

This grant expressly includes the right to license Your Contributions under terms other than the AGPL-3.0, including proprietary and commercial licenses. This is what makes the Project's dual-licensing model possible: without it, the Maintainer could not offer a commercial license covering code You wrote.

You retain all right, title, and interest in Your Contributions. This agreement grants a license; it does not assign or transfer ownership.

3. Patent license

You hereby grant to the Maintainer and to recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated below) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contributions, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contributions alone or by combination of Your Contributions with the work to which they were submitted.

If any entity institutes patent litigation against You or any other entity alleging that Your Contribution, or the work to which You contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this agreement terminate as of the date such litigation is filed.

4. Your representations

You represent that:

  1. You are legally entitled to grant the above licenses.
  2. Each of Your Contributions is Your original creation.
  3. If your employer has rights to intellectual property you create, you have received permission to make Contributions on behalf of that employer, that your employer has waived such rights, or that your employer has executed a separate Corporate CLA with the Maintainer. This clause matters: work written on an employer's time or equipment frequently belongs to the employer by default, and a Contribution you were not entitled to grant cannot be commercially relicensed.
  4. Your Contributions include complete details of any third-party license or other restriction of which you are personally aware and which is associated with any part of Your Contributions.

5. Third-party work

Should You wish to submit work that is not Your original creation, You may submit it separately from any Contribution, identifying the complete details of its source and of any license or other restriction of which you are personally aware, and conspicuously marking the work as "Submitted on behalf of a third-party: [named here]".

6. Support and warranty

You are not expected to provide support for Your Contributions, except to the extent You desire to do so. Except for the representations in Section 4, and to the extent permitted by applicable law, Your Contributions are provided "AS IS", WITHOUT WARRANTY OF ANY KIND, either express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement.

7. Notification

You agree to notify the Maintainer of any facts or circumstances of which you become aware that would make these representations inaccurate in any respect.

How to sign

You do not need to send this file anywhere. When you open your first pull request against the Project, an automated check will post a comment asking you to confirm. Reply on that pull request with exactly:

I have read the CLA Document and I hereby sign the CLA

Your GitHub username, the date, and the pull request are recorded in signatures/cla.json on the cla-signatures branch. You only need to sign once; subsequent pull requests are checked against that record automatically.
